Welcome to NeoAI. These Terms of Service ("Terms") govern your access to and use of the NeoAI platform and services ("Services") provided by Betide Studio, LLC ("Betide Studio", "we", "us", or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

2. Services Description

NeoAI is an AI-powered development platform that assists with code generation, debugging, and optimization for game development and other software projects.

The Services may include, but are not limited to:

• AI-assisted code generation and optimization
• Integrations with development environments and source control systems
• Documentation generation and assistance
• Project management features

3. Account Registration

To access certain features of the Services, you may be required to register for an account. You must provide accurate and complete information and keep your account information updated.

You are responsible for safeguarding the password you use to access the Services and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lowercase letters, numbers, and symbols) with your account.

4. Subscription and Payment

Some of our Services are offered on a subscription basis. You will be billed in advance on a recurring basis, depending on the subscription plan you select.

You may cancel your subscription at any time by contacting support@betide.studio. If you cancel, you may use your subscription until the end of your current billing period, but you will not receive a refund for any fees already paid.

We reserve the right to change our subscription fees upon reasonable notice. Such notice may be provided at any time by posting the changes to the NeoAI website or via email.

5. Intellectual Property Rights

Your Content: You retain all rights to any content you create, upload, or store while using our Services. By using our Services, you grant us a license to use, host, and store your content solely for the purpose of providing the Services to you.

Our Content: The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Betide Studio and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

AI-Generated Content and Projects: You are granted full and complete ownership rights to use, modify, and commercialize any code or content generated by NeoAI for your projects. All projects created using NeoAI are fully owned by you, the developer. Betide Studio makes no claim to ownership of any content generated through your use of our Services.

6. Acceptable Use Policy

You agree not to use the Services:

• To violate any applicable laws or regulations
• To infringe upon the intellectual property rights of others
• To send spam or unsolicited messages
• To distribute malware or other harmful code
• To interfere with or disrupt the integrity or performance of the Services
• To collect or harvest any personally identifiable information from the Services
• To generate content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, or otherwise objectionable

7. Limitation of Liability

In no event shall Betide Studio, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

8. Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Betide Studio hereby disclaims all warranties of any kind, whether express or implied, statutory or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose.

Betide Studio does not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any errors in the Services will be corrected.

The AI functionality provided by NeoAI may not always produce accurate, complete, or suitable results. You are responsible for reviewing and testing any AI-generated content before implementation or use.

9. Data Retention and Memory Systems

We maintain various memory systems to enhance your experience with NeoAI:

• Project Summaries: We store summaries of your projects, including file names, structure, and other metadata to provide context-aware assistance.
• Conversation History: We maintain your conversation history with our AI. When you delete a conversation, it is immediately removed from your view but will remain on our servers for 30 days before being permanently deleted.
• User Preference Memory: We store information about your preferences to help our AI tailor responses to your specific needs. This memory is continuously updated based on your interactions and is retained until you delete your account.

AI Training Policy: We will never use your data to train our AI models unless you have explicitly opted in during the sign-up process. Your conversations, code, and project information remain private and will not be used for model improvement without your explicit consent.

10. Term and Termination

These Terms shall remain in full force and effect while you use the Services. We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact support@betide.studio.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
